1. Agreement and Acceptance

These Terms of Service form an agreement between you and IdentityBridge. By using the service, you agree to be bound by these terms.

2. Eligibility and Authority

You must have authority to bind your organization and meet any eligibility requirements in the selected plan.

3. IdentityBridge Services

IdentityBridge provides a workspace for identity migration discovery, planning, governance and validation. Features depend on the selected plan and deployment configuration.

4. Accounts and Credentials

You are responsible for maintaining the confidentiality of your account credentials and for activity that occurs under your account.

5. Subscriptions and Plans

Subscriptions are governed by the commercial catalog and any selected plan terms. Usage is limited to the entitlements you have purchased.

6. Trials and Promotions

Trial and promotional offers are subject to the specific terms displayed at signup and may be time-limited.

7. Fees, Taxes and Billing

Fees are based on the selected plan and usage. You are responsible for applicable taxes. Billing is handled through approved providers.

8. Marketplace Purchases

Purchases through marketplaces or resellers are subject to their terms as well as these terms where applicable.

9. Customer Data

You retain ownership of your customer data. IdentityBridge processes it to provide the service and in accordance with these terms and the Privacy Notice.

10. Customer Responsibilities

You are responsible for lawful use, maintaining authority over source and target environments, and protecting account credentials.

11. Acceptable Use

Use of the service must comply with the Acceptable Use Policy and all applicable laws.

12. Third-Party Services and Identity Providers

You are responsible for your relationships with third-party identity providers and services that you connect to IdentityBridge.

13. Intellectual Property

IdentityBridge retains ownership of its intellectual property. You receive a limited right to use the service during the subscription term.

14. Confidentiality

Each party will protect the other party confidential information and use it only to perform its obligations under these terms.

15. Security

IdentityBridge implements security controls as described in the Security documentation. Customers are responsible for configuring and using those controls appropriately.

16. Availability and Changes

We may modify, suspend or discontinue features with notice where commercially reasonable. Service availability is not guaranteed beyond what is expressly stated in the selected plan.

17. Suspension

We may suspend access for security risks, violations of these terms, or non-payment in accordance with plan terms.

18. Termination

Either party may terminate the subscription as provided in the plan terms. Upon termination, access ceases and data export is handled as described.

19. Data Export/Deletion

Customers may request export or deletion of customer-controlled data subject to technical and legal constraints.

20. Disclaimers

The service is provided as-is to the extent permitted by law. We do not warrant that the service will be uninterrupted or error-free.

21. Limitation of Liability

Liability is limited to the extent permitted by law and in accordance with the selected plan.

22. Indemnification (only after legal review)

Indemnification obligations will be set out after legal review and incorporated into the relevant subscription agreement.

23. Governing Law (must be supplied by Product Owner/legal)

The governing law and jurisdiction for these terms will be supplied by Product Owner or legal.

24. Changes to Terms

We may update these terms. Material changes will be communicated through the portal or by email before they take effect.
